Differentiators


Meridian differentiates itself from its competitors in the following ways:



In addition, without a verification of records, the supplier could and often does, use other company’s 1099’s or employees, representing them as their own. This could place the Client in an unknowingly libelous situation, which may result in damages.


US Citizenship. In most situations, the Client will allow visa holders to fill services roles. In other instances, Clients require only US Citizens. Without a physical records review, there is virtually no proof of the status of the person who has been submitted. Even though the “supplier” commits the infraction, in most instances if a person who is not able to work in this country is placed in the Client environment, the Client can be blamed and penalized for the infraction.


In today’s environment, there are several visas that can permit a person to be employed; H1-B Visas being the most common. Many times, Multi-National companies who have North American offices present candidates with L1 Visas. Not only are L1 visa holders not permitted to work “through” their companies for a Client; when they do so, it becomes a seriously uneven playing field for any competitors and a serious legal problem for the Client. Why are L1’s provided? Because, unlike H1-B’s, there is no

requirement that L1’s are paid “market” wages. Instead, the Multi-national can pay them whatever amount they want to pay them. And the visa holder is reluctant to complain because they want to remain in the US.


Falsifying Identities. Often times, suppliers present candidates during the interview process who actually take the interview and pass (generally by phone) and when the candidate shows up for the work assignment, he or she is not the person who interviewed. In many cases, the Client is never aware of the switch. Some suppliers do this to ensure that their candidate wins the opportunity on the initial interview. The candidate who takes the initial interview is highly qualified; where the candidate that actually shows up for the assignment is less qualified and less costly to the supplier. Without a physical review of the interview trail, the Client would never be able to detect this underhanded maneuver. This type of cheating, which happens more often than one might think, creates an uneven playing field for those suppliers who would never consider this type of action.


Proper Billing Of Hours Worked. In today’s frantic environment, with collusion, there is the opportunity to create phantom workers. This is normally done in very large Client environments, but without a physical review of supplier records, this event can and does occur. A simple review of payroll and personnel records against billing records can identify any problems. If the Client has a quality Vendor Management System, much of the approval process of hours worked can be accomplished through the system. Where no system exists, the approval process becomes more difficult and the audit process becomes more important. As an example, a supplier may bill for 40 or more hours, where a simple audit against payroll records could show discrepancies (i.e.: if the employee only works 30 hours for a certain week, it is highly unlikely that they could bill 40 hours).


Mark-Up Substantiation. Some Clients have been convinced that the best way to arrive at billing rates is to use a multiplier against a candidate’s pay rate. A supplier may take advantage of the Client by reporting a higher than actual pay rate before the multiplier is used. If the Client relies on “trust” and does not perform audits, in many cases, the supplier will cheat the system and use false pay rates in order to earn a higher level of margin on his candidates. This is one of the areas of greatest abuses and without “actual” audits, the Client will continually invite improper billings.


Proper Accounting. Because of independence within the contract, it is generally of little importance for the Client to audit the supplier to ensure that they are withholding properly and paying taxes properly; even though this is outlined in the contract. However, if this element is not audited during the payroll audit, there is always the opportunity that the Client will be, at a minimum, embarrassed by an unscrupulous supplier.


Summary. Effective auditing will always result in improved project and vendor controls. Better controls will always result in cost containment and a higher degree of project success. Many Suppliers, like me, will also be happier with the resulting level and honest playing field.

PART A: General Information

When key parts of the health care law take effect in 2014, there will be a new way to buy health insurance: the Health Insurance Marketplace. To assist you as you evaluate options for you and your family, this notice provides some basic information about the new Marketplace and employment­based health coverage offered by your employer.


What is the Health Insurance Marketplace?

The Marketplace is designed to help you find health insurance that meets your needs and fits your budget. The Marketplace offers "one-stop shopping" to find and compare private health insurance options. You may also be eligible for a new kind of tax credit that lowers your monthly premium right away. Open enrollment for health insurance coverage through the Marketplace begins in October 2013 for coverage starting as early as January 1, 2014.


Can I Save Money on my Health Insurance Premiums in the Marketplace?

You may qualify to save money and lower your monthly premium, but only if your employer does not offer coverage, or offers coverage that doesn't meet certain standards. The savings on your premium that you're eligible for depends on your household income.


Does Employer Health Coverage Affect Eligibility for Premium Savings through the Marketplace?

Yes. If you have an offer of health coverage from your employer that meets certain standards, you will not be eligible for a tax credit through the Marketplace and may wish to enroll in your employer's health plan. However, you may be eligible for a tax credit that lowers your monthly premium, or a reduction in certain cost-sharing if your employer does not offer coverage to you at all or does not offer coverage that meets certain standards. If the cost of a plan from your employer that would cover you (and not any other members of your family) is more than 9.5% of your household income for the year, or if the coverage your employer provides does not meet the "minimum value" standard set by the Affordable Care Act, you may be eligible for a tax credit.1


Note: If you purchase a health plan through the Marketplace instead of accepting health coverage offered by your employer, then you may lose the employer contribution (if any) to the employer-offered coverage. Also, this employer contribution -as well as your employee contribution to employer-offered coverage- is often excluded from income for Federal and State income tax purposes. Your payments for coverage through the Marketplace are made on an after- tax basis.

Richard Creson President

With a background in the information technology field dating back to 1966, D. Richard Creson founded Meridian Technology Group in 1990. As the company's president, he is the driving force behind its uncompromised growth and success over the years.


Richard began his career at the Ford Motor Company World Headquarters in Dearborn, Michigan, then one of the largest data processing facilities in the world. After working at Ford, he then served in information technology-related positions for various companies until earning his Bachelor of Business Administration / Accounting Degree from the University of South Florida in 1975. From that point forward, Richard's focus broadened to include finance and accounting.


After college, Richard returned to the Ford Motor Company World Headquarters where he served as systems audit manager from 1975 to 1980. Then in 1980, Richard moved to Portland, Oregon, where he was the manager of systems audit for Evans Products Company. Three years later, he moved to San Francisco to be the financial controller of San Francisco, California-based Impell Corporation. In 1986, Richard returned to Portland as the controller and chief financial officer of Impell-Pacific (a start-up venture between Impell Corporation and PacifiCorp based in Portland, Oregon). In 1989, Richard was named general manager of Systems Integration Services for Impell- Pacific. Recognizing a void in the information technology consulting field, Richard put his extensive business and technical experience to work and formed Meridian Technology Group.

Rick Skogmo Vice President of Business Development

Rick Skogmo joined Meridian Technology Group in 2005. Rick brings over 23 years of Information Technology Sales and Marketing experience to Meridian. His background includes both sales and marketing of hardware, software and IT Staffing. He served as Branch Manager and Vice President for 12 years with Western Data Corporation and most recently Branch Manager for Infogroup Northwest. His current role with Meridian will be Business Development within several of Meridian’s existing accounts. Rick is a native Oregonian and attended Oregon State University. Residents of West Linn, Oregon, Rick and his wife Nancy and their son enjoy spending time with related sporting and boating activities.

While employing some of the best technical employees in the business, we also have some of the most senior and seasoned account management, recruiting and technical operations management in the professional services business. Our team delivers the highest caliber resources for the best possible price. We are highly efficient in the way we recruit for our clients. Meridian’s recruiting staff is located in our Corporate Office in Portland as well as our Branch Offices in Texas and Washington. Even though our recruiters are located throughout the western United States, they act as a centralized unit when sourcing

candidates for our clients.


Business Process

Because of our experience, we will not waste your time presenting candidates that almost qualify. We take the proper steps to understand your requirements and then deliver a technical resource that matches that requirement for the contracted price. We ensure that any candidate that is presented is available to work and that the candidate is delivered to the project on time.


Finally, we regularly monitor and supervise our consultants while assigned to your projects. We do not view this as your responsibility. Because Meridian has a full employment model and not a “contractor” mentality, we continually ensure that our employees are performing to expectation. In addition, we ensure that employee problems, if any, are addressed on a timely basis.


Richard Creson President

With a background in the information technology field dating back to 1966, D. Richard Creson founded Meridian Technology Group in 1990. As the company's president, he is the driving force behind its uncompromised growth and success over the years.


Richard began his career at the Ford Motor Company World Headquarters in Dearborn, Michigan, then one of the largest data processing facilities in the world. After working at Ford, he then served in information technology-related positions for various companies until earning his Bachelor of Business Administration / Accounting Degree from the University of South Florida in 1975. From that point forward, Richard's focus broadened to include finance and accounting.


After college, Richard returned to the Ford Motor Company World Headquarters where he served as systems audit manager from 1975 to 1980. Then in 1980, Richard moved to Portland, Oregon, where he was the manager of systems audit for Evans Products Company. Three years later, he moved to San Francisco to be the financial controller of San Francisco, California-based Impell Corporation. In 1986, Richard returned to Portland as the controller and chief financial officer of Impell-Pacific (a start-up venture between Impell Corporation and PacifiCorp based in Portland, Oregon). In 1989, Richard was named general manager of Systems Integration Services for Impell-Pacific. Recognizing a void in the information technology consulting field, Richard put his extensive business and technical experience to work and formed Meridian Technology Group.

Rick Skogmo Vice President of Business Development

Rick Skogmo joined Meridian Technology Group in 2005. Rick brings over 23 years of Information Technology Sales and Marketing experience to Meridian. His background includes both sales and marketing of hardware, software and IT Staffing.

He served as Branch Manager and Vice President for 12 years with Western Data Corporation and most recently Branch Manager for Infogroup Northwest. His current role with Meridian will be Business Development within several of Meridian’s existing accounts. Rick is a native Oregonian and attended Oregon State University. Residents of West Linn, Oregon, Rick and his wife Nancy and their son enjoy spending time with related sporting and boating activities.

Meridian recruiters "source" their candidates via referrals, networking and their own personal pipelines. Meridian maintains its own recruiting software application which includes over 50,000 candidates.


Philosophy

Candidate resumes are compared to job descriptions and then scrutinized further by members of the technical operations team to ensure that client and Meridian standards are being met. The account managers review the job descriptions with the candidates, discussing not only the requirements of the assignment, but also relevant information regarding the client environment. Each new consultant employed for a client assignment will come to work prepared to make a difference. We understand the pressure that changing technology can have on business leaders.

Standard, or "Free Text" searches cause the system to identify the meaning of the query. Therefore, although exact matches will be returned, words or phrases with a similar meaning with also be returned.

Advanced searches allow Boolean AND, OR and NOT terms to be used.

Ignored 'Noise' words:

These are common words such as: a, an, and, as and others. These words will be ignored by the search engine unless they are part of a Boolean (see below) search.

Punctuation marks:

Punctuation marks such as: ; (semicolon), : (colon), . (full stop/period), , (comma) and others are ignored by the search engine.

Special Characters:

To use specially treated characters such as &, |, ^, #, @, $, (, ), in a query, enclose your query in quotation marks (“).

Case:

The search engine is case insensitive so the query "User Manual" will return the same results as "user manual".

Keyword Search:

The query, user manual will return all documents containing the words "user" and "manual". This type of search will return the same results as the Boolean "user" AND "manual".

Phrase Search:

The query, "user manual" which will only return documents containing "user manual".

Boolean Searches:

The query, user AND NOT manual will return documents containing "user" but not "manual". The query, user AND manual will return documents containing the words "user" and "manual".

The query, user OR manual will return documents containing "user" and also documents containing "manual".

Wildcards:

The query man* will return all documents containing "man" as part of a word, i.e. "manual", "manually" and so on.

Every project needs an owner. Meridian believes that if you have internal champions directing your efforts, you will accomplish exactly what you set out to do. Every project also needs a driver. Focus

Meridian is not a body shop. We do not seek to fill orders for the sake of filling orders. We are in this business, and it is part of our mission statement, to ensure the success of our clients’ projects.


Meridian’s goals involve replicating the client success we’ve had in our Portland office to our other offices. This results in a 5-year growth plan effectively doubling our size and achieving revenues in excess of $30 million. Our Portland office is mature and will likely not experience significant growth during this period.


In addition, in order to support some of our national Clients, we will look to increase our presence in the Mid West and South -Central United States. As these markets grow we will continually review the appropriate timing for Meridian to have a physical presence in those markets.

Compensation & More

We start out by offering full-time base compensation in hourly or salaried options. The hourly option offers pay for hours worked, with eligibility to sign up for our 401K program after only 6 months of service. The salaried option features a competitive base salary, paid time off, holiday pay, medical & dental insurance options and life/ADD insurance benefits for employees the first of the month following 90 days of service.


The following Bonus programs are available to our consultants:


If technical staff members successfully refer a candidate who is hired, they shall receive a $1,000 referral bonus. The

$1,000 referral bonuses are paid 45 days after the new full-time employee begins work (payment date). The employee receiving the bonus must be a Meridian employee at the time the referred employee begins work.


If technical staff members successfully recommend or refer new client opportunities (new clients to Meridian with whom we begin new projects), they shall receive a bonus pay -out of $1,000.00. The bonus will be paid one month after the new client is invoiced for work performed (payment date). The employee receiving the bonus must be a Meridian employee at the payment date to be eligible to receive the bonus.


If staff members (excluding Business Development) successfully identify and refer new project opportunities with existing clients (where the staff augmentation is actually undertaken by Meridian), they shall receive a bonus pay -out of $1,000.00. The bonus will be paid one month after the new project is invoiced for work performed (payment date). The referral must be non-published, non public domain information. It must be information of which Meridian had no knowledge prior to the referral and would not have otherwise received via client notification. The employee receiving the bonus must be a Meridian employee at the payment date to be eligible to receive the bonus.



Stability with Flexibility

Before your current assignment with Meridian is done, we will be looking for your next. Meridian consultants are not brought on board as hired guns who vanish when the project ends. Our industry is mobile enough already. We hire people who respect long-term commitments coupled with opportunities for ongoing technical challenges and growth. Meridian is a tier-one vendor in many of its major accounts. That means we have a steady demand for technical talent at headquarters and at the satellite offices. Our clients come from all sectors of business industries, and have critical needs in all areas of technology and engineering.


We don’t want our people in the trenches wondering who their employer is. Neither do we want to burden our employees with administrative tasks or political strife. There's more than enough of that to go around out there. What we offer is the opportunity to participate in some important company activities such as after -hours internal training, technical sessions, colleague support and candidate screening. We offer other things too: holiday party, company-sponsored activities, user group meetings and frequent lunches. But those are less important. The key thing is communication. If you have a question or concern, don't keep it to yourself. We can't do anything about it if we're not in the loop. And if we can do something about it, we will.

New Employee Bonuses

We take the proper steps to understand client requirements and then deliver a technical resource that matches that requirement for the contracted price. We ensure that any candidate that is presented to our clients is available to work and that the candidate is delivered to the project on time.


Finally, we regularly monitor and supervise our consultants while assigned to client projects. We do not view this as our clients’ responsibility. Because Meridian has a full employment model and not a “contractor” mentality, we continually ensure that our employees are performing to expectation. In addition, we ensure that employee problems, if any, are addressed on a timely basis.

Business Model

Retaining a quality staff at Meridian is part of our mission statement and has been a major factor in our high success rate since 1990. Meridian’s philosophy is to go after the top talent and keep them happy with a benefits program that competes with large employers.


As such, Meridian offers the following benefits to our employees:

Health Insurance * PPO Medical/Dental Insurance - options for base plan and buy -up plan for all eligible employees

$50,000 life/AD&D Insurance - for eligible employees with option for voluntary term Life

Long-term Disability Insurance - for eligible employees

7 standard paid holidays and 1 floating holiday per year for each eligible employee Eligible employees accrue up to 15 days of PTO (paid time off) per year

20 days of accrued PTO (paid time off) per year for each eligible employee after 5 years of service Monthly Parking or Tri-Met reimbursement

401k program – Meridian offers 100% immediate vesting for all employees after eligibility period

New Employee Referral Bonus: If a consultant successfully refers a new person, he/she shall receive a

$1,000 referral bonus. The $1,000 referral bonus is paid 45 days after new full-time employees begin work. The employee receiving the bonus must be a Meridian employee at the time the referred employee begins work.

New Client Referral Bonus: If a consultant successfully recommends or refers a new client opportunity (new client to Meridian with whom we begin a new project), he/she shall receive a $1000 bonus. The bonus will be paid one month after the new client is invoiced for work performed. The employee receiving the bonus must be a Meridian employee at the payment date to be eligible to receive the bonus.

New Project Opportunity Referral Bonus: If a consultant successfully identifies and refers a new project opportunity with an existing client (where the staff augmentation is actually undertaken by Meridian), he/she shall receive a $1000 bonus. The bonus will be paid one month after the new project is invoiced for work performed. The referral must be non-published information (not on client website or job boards) and not of public domain. It must be information of which Meridian had no knowledge prior to the referral and would not have otherwise received via client notification. The employee receiving the bonus must be a Meridian employee at the payment date to be eligible to receive the bonus.

Meridian differentiates itself from its competitors in the following ways:


We offer our consultants quality employment unmatched at similar organizations. Our employee health, dental and disability insurance premiums are fully paid by Meridian. We offer 3+ weeks of vacation per year and a 401K with immediate vesting. All of these offerings allow Meridian to attract a higher caliber consultant, ultimately benefiting our clients not only with a higher level of expertise, but with a higher sense of stability in the consultant-client relationship.

We only present candidates who meet our client needs. We have a team of eight recruiters and recruiting analysts – all of whom are full-time employees of Meridian. We invest significant time in getting to know our clients, and are an extension of that brand when interfacing with candidates.

Meridian knows exactly who our consultants are. They all work for us. We do not rely on subcontractors or 1099 relationships.

Meridian offers consultants across the entire spectrum of Advanced Technologies. We are platform agnostic, supporting everything from Mainframe to Microsoft and Java.

Because of our length of time in the industry, Meridian has significant exposure to a number of project types and is well versed in specialties such as Business Intelligence / DSS / Data Warehouse, legacy conversions, ERP, CRM and Enterprise Application Integration (EAI). In addition, our Hardware & Software engineers generally come from major OEM’s with years of technical application experience. They are well versed in areas beginning with hardware concept design, production testing, quality assurance, and supply chain model methodologies.

Meridian invests in training for our consultants and improves their knowledge on client-related technologies.

We leverage 3rd-party relationships to bring benefits to our clients. We are currently a Microsoft Certified Business Partner and an IBM PartnerWorld member.

Account Management - we manage our accounts in the manner that our customer desires. Each client has an account manager and a relationship manager to ensure that we are meeting our client needs at all times. Simply put, we do our job -- bringing the right consultants to our clients at a fair price. Along the way we also abide by our client rules and support our client success in as low -maintenance a manner as possible.

From Meridian’s recruiting power and account understanding, we react very quickly to our client’s changing needs. Clients need to ramp projects up and down very quickly; we recognize the need and can accelerate this process.

We are very selective in our consultant identification process. We only employ senior-level consultants who have a proven track record of success.

We have a multi-tiered internal review process (quality assurance and continuous improvement) to ensure that every candidate you receive is qualified and ready to begin your engagement.

Meridian is a Washington corporation (Meridian is the parent corporation), headquartered in Oregon and licensed/certified/registered to conduct business in Oregon, Washington, Texas, California, Arizona, Colorado, Minnesota, Illinois, Ohio, Utah, Idaho, Wisconsin, Missouri, North Carolina and South Carolina.


Meridian Technology Group began business in August 1990. For the first four years, Meridian sold, implemented and customized Informix-based accounting, manufacturing and wholesale distribution systems

to mid -sized companies.


In late 1994, Meridian changed its direction from applications implementation to overall software specialists.


Meridian's mission became oriented toward helping its clients succeed with their critical systems projects. With this shift, Meridian began working with larger organizations on more significant and sophisticated projects.

Meridian has never entered into any bankruptcy proceedings nor has Meridian ever declared bankruptcy. Meridian is not in default on any loan or finance agreement. Meridian is debt free, profitable and growing. We are currently one of the largest, privately-owned IT consulting companies in the Pacific Northwest and quickly becoming prominent in Texas. During the past several years, Meridian has earned financial growth awards including seven from the Portland Business Journal, five from Oregon Technology Magazine, three from Deloitte and Touche and three from Inc. Magazine. Meridian was presented “The Lighthouse Award” by the Business Journal in recognition of six consecutive years of growth among the top 100 privately held companies.
