Meridian has never entered into any bankruptcy proceedings nor has Meridian ever
declared bankruptcy. Meridian is not in default on any loan or finance agreement.
Meridian has neither litigation nor judgments pending, nor anticipated.

privately-owned IT consulting companies in the Pacific Northwest. During the past
several years, Meridian has earned financial growth awards including seven from
the Portland Business Journal, five from Oregon Technology Magazine, three from
